1. Parties and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ZEBEDEE, LLC ("Company," "we," "us," or "our"), a limited liability company organized under U.S. law with its registered address at 50 Harrison St Ste 472, Hoboken, NJ 07030, USA.

ZEBEDEE, LLC is registered as a Money Services Business with FinCEN (MSB Registration #31000327040201) and holds a Money Transmitter license in Washington State (License #550-MT-149372).

2. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Be a legal resident or entity of a jurisdiction in which our services are lawfully offered
• Complete our identity verification (KYC) process to our satisfaction
• Not be listed on any OFAC sanctions list or otherwise prohibited from using financial services under applicable law
• Use our services solely for lawful purposes

We reserve the right to deny service to any person or entity at our sole discretion, including for compliance reasons.

3. Services

ZEBEDEE, LLC provides cryptocurrency wallet services, digital asset transfer services, and blockchain-based payment solutions as described on our website. All services are provided subject to applicable law, our licensing, and these Terms.

No Investment Services: We do not provide investment advice, brokerage services, or asset management. Nothing in our services or on our website constitutes a recommendation to purchase, sell, or hold any digital asset.

4. Prohibited Uses

You agree not to use our services to:

• Engage in money laundering, terrorist financing, fraud, or any illegal activity
• Violate any applicable law or regulation
• Circumvent our KYC/AML procedures
• Engage in transactions that violate OFAC sanctions or other applicable sanctions programs
• Use our services on behalf of a sanctioned country, entity, or person
• Conduct transactions involving proceeds of crime
• Provide false or misleading information to us
• Interfere with the operation of our services or systems

5. KYC / AML Compliance

As a regulated MSB, we are required by law to verify the identity of all customers and to monitor transactions for suspicious activity. By using our services, you:

• Agree to provide accurate, complete, and current identity information
• Consent to our verification procedures and ongoing monitoring
• Acknowledge that we may file Suspicious Activity Reports (SARs) with FinCEN without notifying you, as required by law
• Acknowledge that we may freeze, suspend, or terminate your account if required by law or regulatory guidance

6. Risk Disclosure

IMPORTANT: The use of cryptocurrency and digital asset services involves substantial risk. You acknowledge and agree that:

• The value of digital assets may be highly volatile and may decrease substantially, including to zero
• ZEBEDEE, LLC does not guarantee profits, investment returns, or the preservation of any capital
• Digital assets are not legal tender and are not backed by any government
• Cryptocurrency is not insured by the FDIC or any other government insurance program
• Blockchain transactions may be irreversible; we may not be able to reverse erroneous transactions
• Regulatory changes may affect the availability or legality of digital asset services
• You should only use digital asset services with funds you can afford to lose

7. Fees

Fee schedules for our services will be disclosed to you before you use specific services. We reserve the right to update fees upon reasonable notice. Fees are non-refundable except as required by law.

8. Account Suspension and Termination

We may suspend or terminate your access to our services at any time, with or without notice, if: (a) you violate these Terms; (b) we are required to do so by law or regulatory authority; (c) we reasonably suspect fraudulent or illegal activity; or (d) we decide to discontinue the service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEBEDEE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DIGITAL ASSETS, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless ZEBEDEE, LLC and its officers, members, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law provisions. Any disputes shall be resolved by binding arbitration in Hoboken, NJ, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or notice on our website. Continued use of our services after changes become effective constitutes your acceptance of the revised Terms.
